1. WarpKVM Service overview

WarpKVM is a product of Ground Plane Studio, LLC. WarpKVM designs and sells KVM-over-IP hardware, along with companion web, mobile, and firmware software for controlling your hardware remotely (collectively, the “Service”). The website at warpkvm.com markets and sells our products, takes pre-orders and reservation deposits, accepts quote requests for our rack hardware, collects waitlist signups and beta program applications, and hosts our documentation and blog.

2. Eligibility

You must be at least 18 years old to use the Service. If you accept these Terms on behalf of a company, you represent that you have authority to bind that entity. You also represent that your use of the Service is not prohibited by any applicable law.

3. The waitlist

Joining the waitlist does not guarantee you a unit, a price, a delivery date, or a place in any order queue. We may close, pause, prioritize, or change the waitlist at any time. By joining, you consent to receive a small number of emails about the launch and product status. You may unsubscribe at any time.

4. Orders, pre-orders, and deposits

Each product page states how that product is sold: bought outright, pre-ordered, or reserved with a deposit, along with its expected shipping window. We currently ship to US addresses only.

• Pre-orders. A pre-order is paid in full at checkout and ships when the hardware is built. Shipping windows are estimates, not guarantees. You may cancel a pre-order for a full refund at any time before it ships, for any reason, by emailing hello@warpkvm.com. If we cannot ship it, we will refund you in full.
• Reservation deposits. A deposit reserves your place in the production queue. It is not a purchase and does not guarantee a delivery date or final price. It is fully refundable at any time before your order ships, for any reason, by emailing hello@warpkvm.com, and is credited in full against your order price at launch. Deposits are limited to one per email address per product.
• Prices and taxes. Prices are in US dollars. Shipping and any applicable sales tax are shown at checkout before you pay.
• Quotes. Rack hardware is sold by quote. Prices shown on the enterprise pages are preliminary, and nothing is charged until you accept a written quote.
• Payment processor. Payments are processed by Stripe, Inc. under their terms of service. We do not store your card details.

5. Delivery and returns

Our full Returns & Exchanges policy governs cancellations, returns, refunds, and warranty claims, and forms part of these Terms. In summary:

• Made-to-order items can be cancelled for a full refund at any time before they ship.
• A 30-day return window for unused product in original packaging.
• Email-based return authorizations via hello@warpkvm.com.
• A one-year limited warranty against manufacturing defects (see §15).

6. Licenses

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business use. You may not:

• Modify, reverse-engineer, or create derivative works of the Service, except as permitted by applicable law or an open-source license covering a specific component.
• Reproduce, distribute, or publicly display the Service outside of its intended use.
• Sub-license, sell, or transfer your license to a third party.
• Remove or alter any proprietary notices.
• Circumvent security or access controls.

Feedback. If you send us ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose, without compensation or attribution.

7. Ownership

The Service, including the WarpKVM name and wordmark, product designs, technical illustrations, website content, and firmware, is owned by Ground Plane Studio, LLC or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Purchasing a WarpKVM device gives you title to the physical hardware and the license in §6; it does not transfer intellectual-property rights.

8. Third-party components, references, and affiliate links

The WarpKVM firmware and applications incorporate open-source software licensed under their respective licenses. A notices file listing all open-source components ships with each firmware release, and we will send a copy on request to legal@warpkvm.com.

We reference third-party products by name for descriptive purposes only. Those names and associated trademarks belong to their respective owners. Comparison data reflects publicly documented specifications at the time of writing.

Affiliate links. Some outbound links to third-party retailers, including Amazon, are affiliate links. If you click one and make a purchase, we may earn a commission at no additional cost to you. As an Amazon Associate, WarpKVM (Ground Plane Studio, LLC) earns from qualifying purchases. These programs never influence our reviews, measurements, rankings, or editorial opinions, which are based on our own testing: we link to a product because we tested it, not because it pays a commission. Any prices or availability shown are for convenience and may be out of date; the retailer’s own listing is authoritative at checkout.

The website uses Vercel Web Analytics to measure aggregate, anonymized usage. It is cookieless and does not identify you individually; see our Privacy Policy for details.

9. Firmware and software updates

WarpKVM hardware ships with signed firmware that automatically receives security and feature updates. You can defer or schedule updates from the web app, and opt out of non-security updates by contacting support. You may be required to install certain security-critical updates to continue using the Service.

10. Communications

Marketing emails can be turned off using the unsubscribe link in any message. Service-critical emails (security notices, shipping confirmations) cannot be unsubscribed from while you have an active account or open order.

11. Prohibited conduct

You agree not to:

• Use the Service in any way that violates law or third-party rights.
• Scrape, harvest, or systematically copy content from the Service.
• Submit false information to our forms.
• Probe, scan, or test the vulnerability of our systems outside our responsible-disclosure program.
• Introduce malware or other harmful code.
• Use the Service to commit fraud or other unlawful acts.
• Assist or encourage anyone else to do any of the above.

12. Modification of terms

We may update these Terms. Routine updates take effect when posted. Material changes (those that meaningfully reduce your rights or expand your obligations) will be announced at least 30 days before they take effect via email.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access with or without notice for violation of these Terms. Sections §6 (Feedback), §7, §13, §14, §15, §16, §17, and §18 survive termination.

14. Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless WarpKVM, Ground Plane Studio, LLC, and our officers, directors, employees, and agents from any third-party claim arising out of (a) your unauthorized use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right.

15. Disclaimers

One-year limited warranty. WarpKVM hardware carries a one-year limited warranty against defects in materials or workmanship, excluding damage from misuse or use outside our documentation. The full terms, including exclusions, are in our Returns & Exchanges policy.

Except for the limited warranty above, the Service is provided “as is” and “as available.” To the maximum extent permitted by law, WarpKVM and Ground Plane Studio, LLC disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. You use the Service at your own risk.

16. Limitation of liability

To the maximum extent permitted by law, WarpKVM and Ground Plane Studio, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for all claims is capped at the greater of (a) the total amount you have paid us in the 12 months preceding the claim or (b) one hundred US dollars ($100).

17. Disputes and arbitration

Read this section carefully. Most disputes will be resolved by binding arbitration rather than in court.

Informal resolution first

Before starting arbitration, send a written Notice of Dispute to legal@warpkvm.com. If we can't resolve it within 30 days, either party may start arbitration.

Arbitration

Disputes will be administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in the county of your billing address, or by video for claims under $10,000.

Class-action waiver

You and WarpKVM each agree to bring claims only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.

Exceptions

Either party may bring an individual action in small claims court, or seek injunctive relief for intellectual-property infringement, without arbitration.

Right to opt out

You can opt out of arbitration within 30 days of first accepting these Terms by sending written notice to legal@warpkvm.com.

18. Miscellaneous

• Governing law. The laws of the State of California, without regard to conflict-of-law rules.
• Venue. State or federal courts in San Francisco County, California, subject to §17.
• Entire agreement. These Terms supersede any prior agreements on the same subject.
• Assignment. You may not assign these Terms. WarpKVM may assign them in connection with a merger, acquisition, or asset sale.
• Severability. If any part is found unenforceable, the rest remain in full effect.
• No waiver. Our failure to enforce any provision is not a waiver of that provision.
• Electronic communications. You consent to receive communications from us electronically.

19. Beta program

We run a beta program for pre-release WarpKVM hardware and firmware, starting with the WarpKVM DIY Kit. These terms apply to anyone who applies or takes part, in addition to the rest of these Terms.

• Applying. The program is open to US residents who are at least 18. One application per person, and the information in it must be accurate. Applying does not guarantee a place. We choose testers at our discretion, for example to cover a range of machines, networks, experience levels, and locations, and we may not reply to every application.
• Beta hardware. Beta hardware is yours to keep, during and after the program. If you are selected, your acceptance email confirms the details before anything ships.
• Pre-release software and hardware. Beta firmware and hardware are unfinished. They may be unstable, change without notice, lose settings, or interrupt the machine you connect them to. Keep backups, and don't rely on beta hardware for systems where an outage could cause harm, data loss, or financial loss. To the maximum extent permitted by law, beta hardware and firmware are provided “as is” under §15, and the one-year limited warranty does not apply to them unless your acceptance email says otherwise.
• Reports and feedback. You agree to report what you find using the channels we give you. Bug reports and feedback are covered by the Feedback license in §6. Reports may be shared in the open-source project's public issue tracker, so keep passwords, keys, and other sensitive data out of logs and screenshots.
• Talking about it. There is no confidentiality agreement. You are welcome to post, write, and make videos about your beta hardware and your experience with it, good or bad.
• Open-source contributions. Code, documentation, or designs you contribute to the open-source project are governed by that project's license and contribution terms, not this section.
• Leaving the program. You may leave at any time by emailing hello@warpkvm.com. We may end the program, or your participation in it, at any time.
